ZRA Gateway — Terms of Service
These Terms govern your use of ZRA Gateway (the "Service"), a software platform that transmits sales invoices to the Zambia Revenue Authority ("ZRA") Smart Invoice system on behalf of registered taxpayers. By creating an account you agree to these Terms on behalf of the business you represent.
1. The Service
The Service provides electronic invoice fiscalisation, device management, reporting and related APIs. Invoices are signed and registered by ZRA's Smart Invoice infrastructure; we are a transmission and management layer, not a tax authority. You remain solely responsible for the accuracy and completeness of the tax data you submit and for your own tax compliance.
2. Accounts and go-live
- You must provide accurate business details, including your ZRA TPIN, branch codes and device serials. Device registration with ZRA is a one-time operation per device serial — submitting wrong details can permanently consume a device.
- You are responsible for all activity under your account and API keys. Keep credentials confidential and rotate them if you suspect compromise.
- Team members you invite act on behalf of your business.
3. Subscriptions and billing
- Paid plans bill in advance per billing period in Zambian Kwacha. Each plan includes an invoice quota; usage beyond it bills at the plan's overage rate.
- When you switch plans mid-period, unused time on the current paid period is credited pro-rata against the new plan's price.
- If a renewal payment is not received, service continues through a short grace period, after which fiscalisation is paused until payment. Your data is retained.
- Fees are non-refundable except where required by law. Payments are processed by DPO Pay; we do not store card numbers.
4. Acceptable use
You may not use the Service to submit fraudulent tax data, probe or overload the platform beyond your plan's API limits, resell access without an agreement, or violate Zambian law.
5. Availability and support
We target high availability but the Service depends on ZRA's Smart Invoice infrastructure, which we do not control. When ZRA is unreachable, invoices queue securely and are submitted in order once connectivity returns.
6. Data
Your invoice and business data remains yours. We process it to provide the Service as described in the Privacy Policy, and retain fiscal records as required by Zambian tax law.
7. Termination
You may cancel at any time; access continues to the end of the paid period. We may suspend accounts that breach these Terms or create risk for the platform or other customers, with notice where practicable.
8. Liability
To the maximum extent permitted by law, the Service is provided "as is" and our aggregate liability for any claim is limited to the fees you paid in the three months before the event giving rise to it. Nothing limits liability that cannot be limited under Zambian law.
9. Changes and governing law
We may update these Terms; material changes will be notified by email or in-app before they take effect. These Terms are governed by the laws of the Republic of Zambia.
